We refer to the announcements dated 14 February 2017 and 14 April 2017 in relation to the Sukuk Programmes.

Digi.Com Berhad (“Digi.Com”) is pleased to announce that its wholly-owned subsidiary, Digitel, has today issued the second series of IMTN amounting to RM900.0 million in nominal value pursuant to the IMTN Programme (“Second Series IMTN”).

The salient terms of the Second Series IMTN are set out below:

In accordance with the terms of the IMTN Programme, proceeds from the Second Series IMTN shall be utilised for the following purposes:

1. Financing the capital expenditure;
2. Working capital requirements; and
3. Other general funding requirements and/or general corporate purposes of the Issuer and/or its subsidiaries which shall be Shariah-compliant.

CIMB Investment Bank Berhad (“CIMB”) is the Sole Principal Adviser and Sole Lead Arranger whilst CIMB Islamic Bank Berhad is the Sole Shariah Adviser for the IMTN Programme. CIMB, AmInvestment Bank Berhad and RHB Investment Bank Berhad are the Joint Lead Managers for the Second Series IMTN.

The Second Series IMTN will not have any effect on the issued share capital of Digi.Com and the shareholdings of substantial shareholders of Digi.Com. The Second Series IMTN is not expected to have any material effect on the consolidated earnings, earnings per share and net assets per share of Digi.Com.
